TERMS AND CONDITIONS OF QUOTATION

SCOPE OF QUOTATION

 

This Quotation is offered by Solarport Systems Limited (“Solarport”) based on the customer information provided and is subject to review of full site surveys, if not supplied prior to this Quotation:

 

Customers must conduct and supply a geotechnical study and either a) resistance (pull-out, compression and lateral) tests for piled and anchored systems, or b) compression tests for ballasted systems, to ensure suitability for known ground conditions and to prove load data.

 

Customers must also provide a geolocated layout of the site with embedded topographical data in DWG format, with a recommended resolution no greater than 5 meters.

 

Please note, Solarport’s design will be based on the survey data supplied. Solarport does not accept any liability or responsibility for the data or Solarport’s reliance on third-party data.

 

A calculated embedment depth does not guarantee the drivability of the soil. Solarport is not responsible for ground risk or liable for any unforeseen circumstances that occur during installation, including but not limited to pile refusals.

 

DESIGN AND SCOPE

 

Mounting system design (single revision) and supply only, based on customer layout and design information.

 

If design revisions are required due to customer's change in requirements, including but not limited to: change of layout, equipment or scope, this will incur additional charges to be quoted and ordered separately.

 

Design and Scope does not include:

  • Site surveying, marking out or site visits, unless explicitly set out in this offer;

  • Overall site design;

  • Supply of solar modules or any other equipment not specified;

  • Foundation design unless site tests and a geotechnical survey are completed and accepted in writing by Solarport prior to design work;

  • Foundation design or support structures for substations, combiner box or inverter stations;

  • Installation;

  • Ballast (for ballasted systems).

 

If structural calculations or additional surveys determine that the system as quoted is not suitable for the site, this will require a revised offer as a bolstered system.

 

Solarport’s mounting systems are simulated using RWIND to calculate wind pressures and site-specific structural calculations based on Eurocodes EN1990, EN1991, EN1993, EN1997, and BS EN 1991. Site specific wind, snow and seismic loads are based on BS EN 1991-1-4.

 

The module clamping zones are in accordance with the module manufacturer’s specifications. It is the customer’s responsibility to a) ensure the clamping zones provided are correct and approved by the module manufacturer, and b) that the clamp torque setting complies with the manufacturers’ installation guide.

 

Earthing clamps are not included in the Quotation unless explicitly stated within our Quotation. Designs and layouts will be supplied in DWG and/or PDF format, in accordance with BS 8888.

 

If customer requires GPS pile locations, customer must provide a geolocated layout of the site including topographical data ahead of Solarport’s design. The pile location drawing will be provided in DWG format.

 

Customer review and approval of drawings or other materials supplied must be completed within 3 days of issuance to maintain the production and delivery schedules. If approval is not received within this period, Solarport reserves the right to adjust the production and delivery timelines without liability.

 

Installation and O&M manuals will be provided by Solarport. The customer must ensure compliance with these manuals and that the installation is performed by trained and experienced personnel.

 

Solarport does not accept any responsibility for third-party data or for installation.

 

DELIVERY

 

Total number of deliveries allowed for as per this Quotation.

Incoterms 2020: DAP.

 

Delivery has been calculated based on optimised loads of articulated vehicles and/or containers. Delivery charges are estimates and may vary depending on time of customer order.

 

Customer to ensure that a suitable access road and on site unloading area are available for deliveries of articulated vehicles.

 

Customer responsible for unloading. Telehandler or similar equipment required.

2 hours allowed for unloading; standing time, additional unloading time, changes to delivery within 48 hours of scheduled delivery or any other delivery charges incurred will be back charged to customer. All goods must be inspected on arrival and a signed delivery note must be completed by customer and returned to Solarport within 3 days of corresponding delivery to validate warranty.

 

Unless otherwise stated in writing, crates and timbers used for deliveries remain the property of Solarport. All crates and timbers will be collected by Solarport at a reasonable time agreed with customer. Any damaged or unusable returned crates or timbers will be back charged to customer at £25 per crate / £17 per bearer.

 

GENERAL TERMS & CONDITIONS

 

This offer is valid for 30 days and is based on current steel prices; any steel price fluctuation >3% requires re-quotation. Delivery charges are estimates and may vary.

All prices are net and are subject to any applicable VAT and applicable exchange rate at time of order.

 

Retention of Title: all goods remain the property of Solarport Systems Limited until paid for in full.

 

Orders will only be supplied in accordance with our Solarport’s Standard Terms and Conditions for Supply of Goods and Services (“Standard Terms and Conditions”).

No agreement is made or order accepted unless in writing by authorised Solarport personnel.

 

Our Standard Terms and Conditions shall take precedence over any terms provided by the Customer, any third party or incorporated documents. Any conflicting terms shall be deemed null and void. By engaging with us, the Customer expressly agrees to be bound by our Standard Terms and Conditions as the governing agreement. Our failure to expressly reject conflicting terms shall not constitute acceptance thereof. Any amendments to these Standard Terms and Conditions must be agreed upon in writing by an authorised representative of Solarport. The entire agreement between the parties is comprised of the Standard Terms and Conditions and the Quotation, including these Terms and Conditions of Quotation.

 

This Quotation and Solarport’s designs are based on customer’s topographical data for which we do not accept any responsibility.

 

Please note, Solarport cannot guarantee minimum ground clearance or total system heights on undulating or sloped ground and does not accept responsibility for any height discrepancies or requirements to break tables in these circumstances.

 

WARRANTY

 

The structural warranty is based on the environmental conditions of the project site. The system is designed for a lifetime of 30 years, with a corrosion resistance of 25 years, considering the project's parameters, including wind, snow and corrosivity known at the time of this offer.

 

The sub-structure corrosion rate, unless specified by the customer, will be in accordance with the corrosion rate identified by https://galvanizing.org.uk/corrosion/corrosion-map/ at the time of this offer.

 

The minimum lifetime can be extended upon request, subject to technical feasibility.
